The www.resaplace.com domain name, and all of its sub-domains (hereafter referred to as the "Site"), belong to the EFFIA group.
In order to be able to benefit from the services offered by EFFIA, please carefully read these General Terms of Sale and Use for the Site (hereafter the "General Terms") and accept them in full and without reservations, prior to placing your Order; any Order implies full and complete acceptance of these General Terms.
These General Terms are valid from 05/11/2013. This edition cancels and replaces all previous versions. They apply to any Order placed online by any User of the Site after acceptance by EFFIA, with acknowledgement of receipt (Order confirmation email).
ARTICLE 1. DEFINITIONS, SCOPE AND GENERAL POINTS
"You" or the "User" refers to any User of the Site who Orders and/or purchases any Product and/or Service offered by EFFIA.
"Partner" refers to any supplier of Products and/or Services on the Site, other than EFFIA.
"Product/Service" refers to all of the products and services made available by EFFIA for sale to the User on the Site (booking, booking payment, booking and parking payment).
"Order" refers to the User's will to legally accept the range of Products/Services sold by EFFIA on its Site.
These General Terms apply to all of the services offered on the Site by EFFIA.
The placement of Orders for services is reserved for Users who have read and accepted by clicking, or where applicable, by telephoning their request, these General Terms in full prior to each Order.
EFFIA reserves the right to modify these General Terms at any time, without notice, on the understanding that such modifications will not apply to any bookings it has accepted beforehand.
1.3. GENERAL POINTS
These General Terms cover all offers, Orders, Order confirmations, invoices and quotes (pro forma invoices), sales and all contractual and pre-contractual commercial relations and prevail over all other documents.
No exceptions may be made to these terms.
ARTICLE 2. ORDERING ON THE RESAPLACE SITE
To use the Resaplace Service, You must be at least 18 years of age and legally capable of entering into contracts and using this Site in accordance with these General Terms.
You are financially responsible for use of the Site, both on your own behalf and on the behalf of third parties, minors included. You also guarantee the truthfulness and accuracy of the information provided.
Fraudulent use of the Site or use in breach of these General Terms may cause EFFIA to refuse, at any time, access to the Products/Services proposed on the said Site, even when it has confirmed an Order, without prejudice to possible legal action taken by EFFIA before the competent courts.
2.2 ORDER PLACEMENT AND CANCELLATION
You can place an Order on the Site, after accepting these General Terms for the site, by contacting our Customer Service Department using the form provided to that effect on the Site or by telephone at 0 825 888 826 (EUR 0.15/min.) from 8:30 am to 6 pm Monday to Friday. Our team is at your disposal for any requests for information. EFFIA will send You an email confirming the Order including essential information such as the identity of the ordered Product or Service, the quantity, the price, any rebates or discounts granted, the expected date of availability or use, the duration of use, and the location of use.
It is your responsibility to ensure that the contact information You provide with your booking is accurate and will enable You to receive confirmation of your booking and/or benefit from the ordered Product or Service. In the event that You do not receive this confirmation, You are responsible for contacting EFFIA's Customer Service Department (0 825 888 826 EUR 0.15/min.) to receive your Order number.
EFFIA reserves, without having to give prior notice, the right to modify the Site's technical functions for searches and Orders (search modes, delivery of informations...).
It is expressly agreed that, save for a manifest error You have reported to us, the data stored in the information system of EFFIA and/or its Partners shall have evidential value as to the Orders You place.
ARTICLE 3. "PARKING SPACE BOOKING", "PARKING SPACE BOOKING AND ONLINE PREPAID PARKING", "ONLINE PREPAID PARKING", or "the RESAPLACE Service"
The Resaplace (or Résaplace) service consists in booking a parking space for a given car park for which the service is proposed, for a date, for a time period, and for one or more people, subject to the availability of spaces reserved for booking.
Parking spaces are booked using the forms available on the Site. The User will choose to pay online for his/her booking and parking, or for car parks allowing it, for his/her booking only (subject to availability).
Subject to the availability of parking spaces, Resaplace can also be used to prepay for parking online for car parks with meters, by means of an e-ticket issued once your payment has been approved. Note that an e-ticket does not entail a booking and therefore does not guarantee a space in the car park. In the event that no spaces are available in the car park, no refund for the e-ticket may be sought. However, if the e-ticket is lost, simple indication of the Order number on plain paper, prominently positioned behind the windscreen, will be sufficient to park in the car park without being fined.
Resaplace consists of 3 products: Resaplace Premium, Resaplace Classique (available for certain car parks) and Reservation Express.
Resaplace Classique is a service guaranteeing a space in a car park. The space is not marked off (with a barrier for example); the Customer parks in the first available space in the car park, excluding Premium spaces.
Resaplace Premium is a service for booking a dedicated parking space marked off for example by a barrier or ground markings.
Reservation Express is a service for booking a space in premium zones up to 30 minutes before you get to the car park.
Moreover, since May 2013, in partnership with the company CRM Services, Resaplace has been offering discounts off parking and booking fees for certain car parks to customers with an SNCF Voyageur, Grand Voyageur, Grand Voyageur Plus or Grand Voyageur Le Club loyalty card, subject to conditions of eligibility. In order to benefit from the offer, customers must enter their Name, date of birth and loyalty card number in the 3 fields provided to that effect on the site. Customers can also benefit from the offer by calling EFFIA's Customer Service Department and giving their card number. Customers benefiting from the promotion must be able to present their loyalty card to the reception staff at the car park. The promotional offer for customers with a Voyageur SNCF loyalty card cannot in any circumstances be combined with another promotional offer or code.
Partner-branded Resaplace sites do not offer all of the services available on the Resaplace site. For example, they do not sell booking only; users wishing to book a parking space must pay the parking fee as well.
Your Order of Products/Services on the Site binds EFFIA only once the said Order has been accepted, particularly after verification that there are no circumstances likely to affect fulfilment of the Order.
EFFIA will send You a confirmation email indicating acceptance of the Order. EFFIA hereby informs You that your bank account will be debited upon acceptance, if applicable, of the "parking space booking" or "parking space booking and prepaid parking" or e-ticket, depending on your choice.
Prices are stated in Euros and are inclusive of VAT in effect on the day of the Order (unless stated otherwise).
If the User does not choose the option to pay for his/her parking online when paying for his/her booking, the rates in force at the car park when parking may be different from those displayed on the Site upon placement of the Order.
EFFIA reserves the right to change the prices appearing on the Site at any time, without notice, on the understanding that such changes will not apply to Orders accepted by EFFIA beforehand, barring subsequent changes to the Order.
Reduced rates may be associated with a partner. They are subject to change at any time, without notice.
Certain products, such as flat rates, can only be purchased from the relevant car park office or the Customer Service department.
3.3 BOOKING NUMBER
A unique 7-character number will be sent to You at your e-mail address in the confirmation email, and will be included on Your invoice available in your customer account. The EFFIA reception staff may ask You for this number when you arrive at the car park.
All Users need to bring their booking number, so as not to be denied access to their booked space.
3.4 PARKING VALIDITY PERIOD
The space reserved for you has a start date/time and an end date/time. The service being provided includes one entry and one exit; any exit from the car park is deemed final.
After the booked time slot, the space that was reserved for You will once again be made available to the car park's other customers, and EFFIA can no longer guarantee its availability.
If You arrive early or if you park for a longer time than the period for which You booked (early arrival or late departure), You will have to pay an extra fee onsite corresponding to the additional parking time in relation to the ordered period, in accordance with the applicable pricing conditions of the car park.
If You leave before Your intended exit time, You will not receive a refund.
Any request for cancellation must be submitted by the Customer in the dedicated section of the Site, i.e. the Customer Account, or by calling Customer Service at 0 825 888 826 (EUR 0.15 /min.) from 8:30 am to 6 pm Monday to Friday.
When placing his/her Order, the User can choose to purchase RésAssur' insurance providing for refunding under the conditions below should he/she cancel/modify his/her Order.
If he/she has not purchased RésAssur' insurance, except in cases of force majeure, the Customer will only be refunded 50% of the amount of his/her order cancelled until midnight the day prior to his/her intended arrival at the car park, corresponding to booking fees and compensation for loss of use of the space.
The User may in no circumstances receive a refund if he/she cancels on the same day of the scheduled booking, as appearing on his/her Order, or afterwards.
3.6 CANCELLATION-MODIFICATION WITH "RESASSUR'" INSURANCE
Customers who have purchased RésAssur' insurance can receive a refund for the full amount of their Order (not including the cost of Resassur insurance), when they cancel no later than midnight on the day of the scheduled booking by phone or by email outside of the opening hours of the customer service department, on the understanding that the day of the scheduled booking is the date indicated by the User when placing his/her Order as the intended day of entry to the car park, except in cases of force majeure.
Customers who have purchased RésAssur' insurance can also modify their order until the day before their date of entry to the car park as indicated when placing the order. Only the parking period can be modified; in no circumstances can the Customer change the town or car park.
For a User receiving a refund, the amount of the service paid online upon placement of the Order, excluding the cost of RésAssur' insurance, will be credited to the Customer account within a reasonable time period.
3.7 FINANCIAL CONDITIONS AND PAYMENT METHODS
The prices of the Products/Services offered on the Site are stated in Euros.
Payment of the price of this service shall be made as from the day on which the Order is placed. A User of the Site placing an Order for a Product/Service shall make his/her payment to EFFIA by providing a bank account number through a secure payment system.
Carte Bleue, Visa, and Eurocard/Mastercard cards are accepted, in addition to the American Express card, except at the car parks of EFFIA Stationnement Lyon and EFFIA Stationnement Grenoble.
In the event of irregular, incomplete or non-existent payment, for any reason whatsoever, the sale of this service will be refused.
EFFIA draws your attention to the fact that the prices of the service are subject to both increases and decreases. The prices applicable to your Order will be those in force on placement of the Order with EFFIA under the conditions set out above.
ARTICLE 4. GENERAL INFORMATION4.1 COMPLAINTS
Any complaints should be filed with our Customer Service Department using the form provided to that effect on the Site or by phone at 0 810 004 201 from 8:30 am to 6 pm, Monday to Friday. In the event of a dispute, the user shall state the reasons for his/her grievances and submit any documents (tickets or receipts) that may be useful in processing his/her request.
From 6 pm to 8:30 am, You can also directly contact car parks with an office and telephone number by phone. However, we draw your attention to the fact that not all of our car parks are open 24/7.
EFFIA cannot be held liable for losses suffered by Users in the event of a train delay or other problem related to any one of its partners. EFFIA's Customer Service Department will not process any complaints related to the non-performance of one of its partners.
4.2 COST OF PARKING AND HOW IT IS CALCULATED
The rates, information and services for the car parks available on the Site are subject to change at any time. However, EFFIA will do its utmost to provide you with the most relevant information in the most timely way possible.
Cost calculations for parking take into account the hourly rates and flat rates offered at the car parks. However, some special flat rates such as "shopping", "cinema" and "resident" flat rates are not available for sale on the Site but only at the car park office. Moreover, the rates given on the price lists of each car park and the results of the cost calculation engine for parking do not take into account promotions related to a partner or linked to a promotional code where applicable.
Booking rates are variable.
Rates and information relating to car park subscriptions are given for information only, are subject to change at any time and are not available for sale on the Site.

4.4 PHOTOS AND ILLUSTRATIONS
The photos and illustrations on the Site are intended to illustrate a page. They are in no way binding. Misuse of a photo for matching information is in no circumstances grounds for complaint.
4.5 RIGHT OF WITHDRAWAL
The Customer, if he/she is a non-professional person, has a right of withdrawal, which he/she can exercise within a period of fourteen (14) clear days from placement of the order by mailing a registered letter with acknowledgement of receipt to EFFIA. When this period expires on a Saturday, Sunday, bank holiday or non-working day, it is extended to the next business day.
This right of withdrawal applies without any penalties, with the exception of the cost of returning the means of access, if it has already been delivered to the Subscriber.
If the right of withdrawal is exercised, EFFIA will issue a refund to the Customer within a maximum period of thirty (30) days of the date on which this right was exercised, by re-crediting his/her bank account (secure transaction) or by cheque.
ARTICLE 5. INTELLECTUAL PROPERTY
EFFIA, the companies in its Group and their Partners hold all intellectual property rights relating to the Site, which are owned by them or for which they have acquired usage rights.
Access to the Site does not grant You any right to the intellectual property rights related to the site or to any part of its content, which remain the exclusive property of EFFIA or the companies in its Group or their Partners.
Elements available on the Site, particularly in the form of text, photographs, images, icons, sounds, videos, software, databases or data, are also protected by intellectual and industrial property rights and other private rights held by EFFIA or the companies in its Group or their Partners.
Unless explicitly stated otherwise in this document, You cannot, in any circumstances, reproduce, represent, modify, circulate, publish or adapt, on any medium whatsoever and by any means whatsoever, or in any way exploit, all or part of the Site without the prior written authorisation of EFFIA.
Any exploitation not authorised by EFFIA and not in accordance with the description of the Services/Products offered by EFFIA under these General Terms, of all or part of the Site, in any way whatsoever, may lead to appropriate action being taken, in particular for counterfeiting or more generally any other action before the competent courts.
The insertion or creation of hyperlinks to any part of the Site is prohibited without the prior written authorisation of EFFIA.
Use of any software downloaded from the Site providing access to certain services is governed by the terms of the corresponding license. You undertake not to install, copy or use this software before accepting the terms of the said license.
For any software that does not have a license, You are granted a temporary, private, personal, non-transferable and non-exclusive right of use for this software in order to enjoy access exclusively to those services that make use of this software necessary. By installing or using the software, You undertake to comply with this condition.
ARTICLE 6. RESPONSIBILITY AND GUARANTEES
EFFIA cannot guarantee that the information, Products, Services and software featured on the Site will be free of defects, errors and bugs, or that these may be corrected, or that the Site will work without any interruptions or failures. Furthermore, EFFIA cannot guarantee that the Site is compatible with specific hardware or a specific configuration other than that expressly approved by EFFIA.
In no circumstances is EFFIA responsible for malfunctions caused by third-party software, whether or not this is integrated in the Site or provided therewith.
Furthermore, all information regarding the Products/Services offered by Partners, in particular their characteristics, prices, quantities and availability, is the responsibility of these Partners and remains under their complete control. EFFIA will do its utmost to have Partners update all information relating to the Products and Services offered by Partners through the Site.
Accordingly, as regards information and descriptions, in particular text, photographs, graphics, prices, rates and rebate and discount scales, relating to the Products/Services directly sold by a Partner, EFFIA disseminates them for illustrative purposes only and cannot guarantee they are current, accurate, truthful or relevant.
EFFIA cannot in any circumstances be held liable for indirect and/or consequential, foreseeable or unforeseeable damages (including loss of profits or opportunity) resulting from the supply and/or use of Products/Services or total or partial inability to use the Products/Services offered on the Site. Lastly, since EFFIA cannot monitor all of the sites to which the Site is linked through hyperlinks, whose sole aim is to facilitate the User's research, EFFIA is in no way responsible for their content.
6.2 FOR SERVICES
EFFIA cannot be held liable for the non-fulfilment of your Order due to the unavailability of the Product or Service, a force majeure, a disruption or a total or partial strike particularly affecting means of communication.
You declare you are aware of the characteristics and limitations of the Internet, in particular its technical performance, response times for consulting, querying or transferring data, and risks related to the security of communications.
EFFIA cannot accept any claims or reimbursement arising from non-performance or improper performance of the service being delivered to You, whether attributable to You, an act of a third party not involved in the provision of the service, or a case of force majeure.
Unless otherwise provided by law, EFFIA cannot be held liable for the failure of a Partner.
6.3 LIMITATION OF LIABILITY
The liability of EFFIA is limited to the amount of the Products/Services ordered by the User on the Site.
The amount charged for parking is a self-parking fee and not a fee for security, surveillance or third-party parking. The right to park a vehicle in the car park is therefore granted at the user's own risk.
EFFIA can be held liable only for damages resulting from a failure on the part of its staff or a fault in its facilities or equipment. In all other cases, the liability of EFFIA and its workers cannot be incurred.
Users must comply with the content of the car park's internal rules and the speed limit displayed at the entrance, and with the rules of the highway code. Any violation of the car park's internal rules observed by operating staff (in particular when the vehicle does not abide by the speed limit or the ground markings for each space) may cause EFFIA to terminate the contract and the Order without compensation or refunding of the costs incurred.
ARTICLE 7. PROTECTION OF PERSONAL DATAThe Site operated by EFFIA has been consistently reported to the CNIL (French data protection authority) under the following number: 1163936.
The information You provide on the Site makes it possible for EFFIA and its Partners to process and fulfil your Orders. In accordance with the French Data Protection Act no. 78/17 of 6 January 1978 as amended, information required by EFFIA and its Partners to process and fulfil Orders is marked with an asterisk on the Site's pages.
Other requested information, which is optional, is intended to know You better and improve the services offered, all while ensuring security. Unless You object, EFFIA may share your optional information with its Partners.
Unless you object when creating your account (where this option can be modified at any time), EFFIA may send You, by post and/or by email, information allowing You to know and use the Site better, benefit from promotional offers displayed on the Site and benefit from the offers of commercial partners.
In accordance with the said Data Protection Act, You have the right to oppose, access, modify, correct or delete your personal data (Article 34 of the French Data Protection Act of 6 January 1978). You can exercise this right by sending an email from the Contact Us section of the Site or by sending a letter to Service Clients, EFFIA Stationnement 20 Boulevard Poniatowski 75012 Paris.

ARTICLE 8. APPLICABLE LAWThe General Terms are subject to French law. Any dispute related to their interpretation and/or fulfilment will be submitted to the competent French courts.
ARTICLE 9. FINAL PROVISIONSEFFIA's decision not to take advantage of one of the provisions of these General Terms at a given time shall not be construed as a waiver of its right to take advantage of any one of the said provisions at a later date.
In the event that one of the provisions of the General Terms is found to be invalid or unenforceable, this provision shall be deemed unwritten, and this will not affect the validity of the other provisions, unless the provision deemed invalid or unenforceable was essential and decisive in the supply of the Products/Services. In this last case, EFFIA will replace it with a provision having equivalent economic effect.
Any case of force majeure, including the interruption of means of telecommunication, suspends the obligations herein affected by the case of force majeure and exempts the party that should have fulfilled the obligation thus affected from any liability. Therefore, the User shall bear all the financial consequences resulting from the occurrence of a case of force majeure affecting the fulfilment of EFFIA's obligations.
